HealthieOne Affiliate Program Agreement

Effective Date: Upon submission of your affiliate application.

This Affiliate Program Agreement ("Agreement") is entered into between HealthieOne ("Company," "we," or "us") and you ("Affiliate," "you," or "your"). By registering for the HealthieOne Affiliate Program, you agree to be bound by the terms of this Agreement.

1. Program Overview

The HealthieOne Affiliate Program allows you to earn commissions by referring new customers to HealthieOne's products and services. You will receive a unique affiliate link that tracks referrals made through your promotional efforts.

2. Eligibility

To participate in the Affiliate Program, you must:

• Be at least 18 years of age.
• Have a valid email address and provide accurate registration information.
• Comply with all applicable laws and regulations in your jurisdiction.
• Not be a current employee, contractor, or immediate family member of a HealthieOne employee.

3. Account Approval

Submission of an affiliate application does not guarantee acceptance into the program. HealthieOne reserves the right to approve or deny any application at its sole discretion. You will be notified by email of your account status. Commissions will not accrue until your account has been approved.

4. Affiliate Links and Tracking

You will be issued one or more unique affiliate links. A referral is counted when a new customer clicks your affiliate link and completes a qualifying purchase within the tracking window. You are responsible for ensuring your affiliate link is used correctly in all promotions.

5. Commission Structure

Commission rates are assigned to your account upon approval and may be a percentage of the sale or a fixed amount per qualifying referral, as specified in your account settings. HealthieOne reserves the right to modify commission rates at any time with 30 days' written notice to active affiliates.

6. Payment of Commissions

• Commissions are paid on qualifying referrals only. Referrals that result in refunds, chargebacks, or fraud will be reversed.
• Payouts are processed upon request once your earned balance meets the minimum payout threshold stated in your account.
• You are responsible for providing accurate payment information. HealthieOne is not responsible for payments sent to incorrect accounts.
• You are solely responsible for any taxes applicable to commissions you earn.

7. Prohibited Conduct

As an affiliate, you agree not to:

• Use spam, unsolicited email, or deceptive marketing practices to promote HealthieOne.
• Bid on HealthieOne branded keywords in paid search campaigns without prior written approval.
• Make false or misleading claims about HealthieOne's products or services.
• Self-refer — you may not use your own affiliate link to make purchases for yourself.
• Engage in cookie stuffing, click fraud, or any other manipulative tracking practices.
• Promote HealthieOne in any way that violates applicable laws or regulations, including health claims regulations.

8. Intellectual Property

HealthieOne grants you a limited, non-exclusive, revocable license to use our approved logos, brand assets, and marketing materials solely for the purpose of promoting the Affiliate Program in accordance with this Agreement. You may not alter, modify, or create derivative works from HealthieOne's brand assets.

9. Termination

Either party may terminate this Agreement at any time with written notice. HealthieOne may immediately terminate your participation for violation of any term of this Agreement. Upon termination, your affiliate links will be deactivated and any unpaid commissions from fraudulent or disputed referrals may be forfeited. Legitimate earned commissions will be paid out in the normal course.

10. Disclaimer of Warranties

The Affiliate Program is provided "as is." HealthieOne makes no warranties, express or implied, regarding the program, including any warranty of uninterrupted availability, earning potential, or fitness for a particular purpose.

11. Limitation of Liability

To the maximum extent permitted by law, HealthieOne shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or your participation in the Affiliate Program.

12. Modifications to Agreement

HealthieOne reserves the right to modify this Agreement at any time. Continued participation in the Affiliate Program following notice of changes constitutes your acceptance of the updated terms.

13. Governing Law

This Agreement shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and HealthieOne with respect to the Affiliate Program and supersedes all prior or contemporaneous communications on the subject.

By registering, you confirm that you have read, understood, and agree to be bound by this Affiliate Program Agreement.
